Terms of Service

1. Acceptance of Terms

By accessing or using RegSeal ("the Service"), operated by Alerterra LLC ("we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all users, including visitors, registered users, and organizations subscribing to paid plans.

2. Service Description

RegSeal is an AI compliance verification and attestation platform that provides automated risk classification, compliance assessments, cross-framework mapping, document generation, and tamper-proof attestation certificates for AI systems under regulatory frameworks including the EU AI Act, Colorado AI Act, NIST AI RMF, ISO/IEC 42001, and additional regulations as they are enacted worldwide.

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate and complete information during registration and keep it up to date.

You agree to notify us immediately of any unauthorized use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Billing and Payments

RegSeal offers Free, Starter, Professional, and Business plans. Paid plans are billed monthly in advance via Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis.

You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months of service.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

The Service, including its design, text, graphics, interfaces, code, and underlying software, is owned by Alerterra LLC and is protected by intellectual property laws. You retain ownership of all data and content you upload to the Service.

By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service. We will not use your data for any purpose other than delivering the Service as described.

6. Acceptable Use

You agree not to:

• Use the Service in violation of any applicable law or regulation
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to any systems or networks connected to the Service
• Transmit viruses, malware, or any other harmful or disruptive code
• Use the Service to compete with or replicate the Service's functionality
• Exceed your plan's rate limits or system allocations through automated means

7. Limitations of Liability

RegSeal provides compliance verification tools to assist with regulatory requirements but does not provide legal advice. The Service is not a substitute for professional legal counsel. Attestation certificates reflect the state of compliance at the time of assessment and do not guarantee ongoing or future compliance.

To the maximum extent permitted by law, Alerterra LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

8. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access to the Service immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users.

Upon termination, you may request an export of your data within 30 days. After that period, we may delete your data in accordance with our data retention policies.

9. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree to jurisdiction of the courts of Delaware.

10. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or an in-app notification at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
